# **STATEMENT OF WORK (SOW)**

### **1. Parties**
**This Statement of Work is entered into between:**

### **2. Document Purpose**
This Statement of Work defines the scope, delivery model, responsibilities, assumptions,
milestones, and governance framework for the successful execution of the project between the
Buyer and Supplier.

### **3. Executive Summary**
Supplier shall design, develop, test, and deploy a modern, responsive, SEO-ready Market
Research Website initially focused on the Healthcare sector and targeting the United States
market. The solution shall include a public website, lead generation workflows, content
management administration portal, and production deployment.

### **4. Objectives**
- Establish a premium digital presence
- Publish and manage market research reports
- Generate qualified business inquiries
- Enable secure online report purchase workflows
- Provide easy admin content management
- Deliver scalable, secure, and high-performance architecture

### **5. Scope of Work**
#### **5.1 In Scope**
- UI/UX implementation based on approved designs
- Responsive website development
- Homepage, category, listing, detail, and static pages
- Lead capture forms (Sample Request / Inquiry / Invoice Request)
- Admin panel for reports, categories, inquiries, and content
- SEO-friendly technical implementation
- Staging and production deployment
- Functional testing and UAT support
#### **5.2 Out of Scope**
- Paid marketing campaigns
- Ongoing SEO ranking guarantees
- Third-party license or subscription charges
- Content writing unless specifically agreed
- Enhancements outside approved scope
- Integrations not explicitly listed herein

### **6. Deliverables**
1. Responsive production website
2. Admin portal
3. Inquiry workflows and notifications
4. Basic SEO technical setup
5. Deployment to live environment
6. Handover documentation

### **7. Technology Stack**
- CMS / Backend: WordPress / PHP
- Database: MySQL
- Hosting: VPS / Cloud / Shared Hosting (Buyer selected)
- Security: SSL / Hardening / Backup-ready setup
- Email: SMTP / Business Mail Provider

### **8. Estimated Effort & Timeline**
**Estimated effort:** ~199 hours subject to final approved scope, timely approvals, and content
availability.

A detailed implementation plan shall be shared at project kickoff.

### **9. Roles & Responsibilities**
**Buyer Responsibilities**
- Provide timely approvals, content, branding assets, and feedback
- Provide hosting/domain/payment gateway accounts where applicable
- Complete UAT within agreed timelines
**Supplier Responsibilities**
- Execute development professionally and on schedule
- Provide periodic progress updates
- Maintain quality standards
- Support deployment and handover

### **10. Governance & Communication**
- Primary SPOC from each Party
- Weekly progress review meetings
- Shared tracker for actions/issues/change requests
- Escalations through designated management contacts

### **11. Change Management**
Any change to approved scope, timeline, features, integrations, or deliverables shall be
managed through written Change Request approval and may impact commercials and delivery
schedule.

### **12. Supplier Agreement Management**
The purpose of Supplier Agreement Management (SAM) is to manage third-party services,
licenses, subscriptions, invoices, and dependencies required for the project.

### **13. Acceptance Criteria**
**Deliverables shall be deemed accepted when:**
- Agreed functionality is delivered
- No Critical defects remain open
- UAT signoff is issued; or
- No material rejection is raised within 5 business days of formal submission

### **14. Commercial Milestones and Billing Structure**
The project cost is based on the estimated effort and the approved project scope. Detailed estimations shall be provided by the Supplier based on the requirements shared by the Buyer. Any variation in scope may impact the final commercial estimate and delivery timeline.
Invoices shall be raised upon completion of the following project milestones:

### **15. Warranty / Hypercare**
Supplier shall provide a limited post go-live support period for bug fixes related to delivered
scope, as agreed in the governing commercial terms.

### **16. Service Support**
Incidents reported after go-live shall be handled on reasonable best-effort basis or under a
separate support arrangement.

### **17. Risks & Assumptions**
- Timely approvals are required to maintain schedule.
- Delays in content, credentials, or third-party access may impact timelines.
- Scope changes may affect effort and commercials.
- Buyer feedback cycles should be reasonable and collaborative.

### **19. Intellectual Property**

products shall be managed and handed over in accordance with the governing Contract.
Supplier shall disclose any third-party or pre-existing components proposed for use.

### **20. Confidentiality**
Both Parties shall keep confidential all non-public business, technical, and commercial
information exchanged during the engagement, subject to the governing Contract.

### **21. Termination**
Either Party may request termination in accordance with the governing Contract. The Parties
shall cooperate for an orderly transition, including handover of completed work and settlement
of approved dues.
